These Terms of Service ("Terms") are a binding agreement between you and HiveCast LLC ("HiveCast," "we," "us" or "our"), 3365 Beeler Court, Denver, CO 80238, United States. They apply to memyself.fyi (the "Website") and to everything we sell under the MeMyself.fyi name. Please read them carefully. By using the Website, booking a call or buying a Service, you agree to them.
1. Definitions
Services means the Foundation setup, the monthly plans we offer (currently Evolve and Authority), the Claim your Google Knowledge Panel course, optional add ons such as podcast placements and press releases, any custom plan we agree in writing, and any related advice, tools or deliverables.
Record means the structured description of you, your organizations and your work that we prepare, including the structured data (schema) in the hidden layer of your Site.
Site means the website we build for you and publish on your own domain.
Client Materials means everything you give us or tell us, including interview answers, biographies, photographs, career details, links, credentials, domain information and corrections.
Third Party Platforms means companies and services we do not own or control, including search engines, AI assistants and answer engines (for example Google, Bing, OpenAI, Anthropic and Perplexity), knowledge bases and wikis (including Wikidata and Wikipedia), social and professional networks, podcast apps and hosts, publishers, press release services, domain registrars, payment processors and hosting providers.
Order means the checkout, payment link, proposal, invoice or written agreement through which you buy a Service.
2. Accepting these Terms
You accept these Terms by using the Website, by checking a box or paying at checkout, or by using any Service. You must be at least 18 and able to form a binding contract. The Services are for professional and business use.
If you accept for a company, or on behalf of another person, you confirm that you have authority to do so, and "you" includes them. If the Record is about someone other than you, you confirm that they have authorized you to act and are bound by these Terms as to their own materials, name and likeness.
If you do not agree, do not use the Website or the Services.
3. The Services
We describe each Service on the Website and in your Order. We will perform the Services with reasonable skill and care. Descriptions, timelines and examples on the Website are summaries, and the Order and these Terms control if they differ.
We may improve, change or retire features, and we may replace a tool or provider with an equivalent one. If we make a change that materially reduces a paid monthly Service, we will give you 30 days' notice and you may cancel under section 13. Some Services, including Authority, are available by application, and we may decline any application or Order for any lawful reason.
4. Your responsibilities
You agree to:
- give us accurate, complete and current Client Materials, and tell us promptly if anything is wrong or changes;
- review and approve the Record before it goes live. We ask you to confirm each fact, and you are responsible for the accuracy of every fact you approve;
- respond to our requests within five business days, because delays on your side pause our timelines and can affect the guarantee in section 12;
- hold the rights you need: you control the domain, you have permission to use every photograph, quotation, logo and third party detail you give us, and you have the consent of anyone named in your materials;
- keep your accounts secure and never send us passwords by email, because we will ask for delegated access where we need it;
- follow the law and the rules of Third Party Platforms, and not ask us to do anything that breaks them; and
- pay on time.
5. Client Materials and the license you give us
You keep ownership of your Client Materials. You grant HiveCast and its service providers a worldwide, nonexclusive, royalty free license to use, reproduce, edit, adapt, publish, display and distribute Client Materials, and your name, title, voice, image and likeness, as needed to provide the Services, to publish what you ask us to publish, and as described in sections 6 and 16.
We do not verify Client Materials and we are not responsible for their accuracy or legality. We may decline, edit or remove anything we reasonably believe is inaccurate, unlawful, infringing, misleading or contrary to the rules of a Third Party Platform, and we will tell you when we do.
Do not give us highly sensitive information we do not need, such as government identification numbers, financial account numbers, medical records or passwords.
6. The recorded interview
The Foundation includes a recorded interview that we publish as a podcast episode. By taking part you consent to the recording of the interview in audio and video, and to our publication of the episode, clips, excerpts, transcripts and descriptions on our website, on podcast and video platforms and on social channels, together with your name, voice, image and likeness, to publish the episode and to promote it and the Services.
You confirm that everyone who joins the interview on your side has consented to recording and publication. We may edit for length and clarity and will not materially change the meaning of what you said.
We own the recording and the episode as produced. You keep ownership of your own words and materials, and we give you a perpetual, nonexclusive license to link to, embed, share and quote the episode, and to use excerpts for your own professional promotion.
Published episodes remain published. If you ask us to take one down, we will remove it from channels we control within a reasonable time, but we cannot remove copies held by Third Party Platforms, caches, aggregators or other people. If you ask us to remove or delay the interview before launch, the launch guarantee in section 12 no longer applies.
7. Public by design
The Site, the Record and anything we publish for you, including press releases, Wikidata statements and podcast episodes, are public. Search engines, AI systems, archives and other third parties may copy, cache, quote and retain them, and we cannot recall copies made by others. Removing something from the Site does not remove it from places we do not control. Before you approve anything, assume that anyone in the world can read it indefinitely.
8. No guarantee of results
We do the work we describe. We do not control, and cannot influence by contract, what Third Party Platforms decide to show or do. Therefore we do not promise, and nothing on our Website, in our blog, in our course, in a call or in an example promises, any of the following:
- that Google will create, show, keep or change a knowledge panel for you, or show any particular information in it;
- that any Wikidata item will be created or kept, or that any Wikipedia article will be created, accepted or kept;
- that any search engine, AI assistant or answer engine will mention, describe, cite or rank you in any particular way, or at all;
- that any publication, host, journalist or outlet will accept, publish, book or quote you, or on any timetable; or
- any level of traffic, leads, bookings, sales, funding, hires, reputation or revenue.
Platforms change their rules and systems without notice. Examples and results we describe, including results for our own sites or other clients, show what happened to them and do not predict what will happen to you. Any time estimate other than the launch guarantee is an estimate. You confirm that you have not relied on any promise or statement that is not written in these Terms or your Order.
9. Third Party Platforms and platform rules
Third Party Platforms operate under their own terms and policies, and those control. We are not responsible for what they do or decide, and we do not endorse them.
We follow platform rules and ask you to do the same. We do not buy links, run link networks, create fake profiles, reviews or accounts, or try to deceive any search engine or AI system. We may refuse or stop any request that we believe would do so.
We do not create or edit Wikipedia articles for clients. We may add statements to Wikidata that are accurate, referenced to public sources and permitted by that project's policies, and we make the paid editing disclosures that the Wikimedia Foundation's Terms of Use require. You must not ask us, or anyone else, to make undisclosed paid edits or to edit pages about you or your organization in breach of Wikimedia policies. Our readiness checks and course explain published criteria and are not a determination that you qualify for any entry.
10. Domains, DNS, hosting and email
Your domain is registered in your name, with your registrar, and stays there. You are responsible for renewing it, for keeping the registrant details accurate and for securing your registrar account. We do not register domains for you unless we agree otherwise in writing, and then only in your name. We do not monitor your registration or its expiry.
You authorize us to configure DNS for your domain, and where you agree to it, to manage your domain's DNS at Cloudflare by pointing its nameservers there. Changing nameservers changes where all of the domain's DNS records are managed. You must give us a complete and accurate list of every service that depends on those records, such as email. We will take reasonable steps to copy existing records, but you are responsible for confirming that they are correct. DNS changes take time to spread and can briefly interrupt services.
We host the Site on third party infrastructure. We monitor it and will use commercially reasonable efforts to restore it if it fails, but we do not guarantee any uptime or availability and we do not offer service credits.
If we set up email routing for an address on your domain, it only forwards messages to an inbox you choose. It is not an email hosting service, delivery is not guaranteed, and you are responsible for what is sent and received through it.
11. Fees, billing and renewals
Prices. The price shown at checkout or in your Order is the price you pay, in US dollars, plus any applicable taxes. The Foundation is a one time fee. Evolve is billed monthly in advance, or annually if you choose an annual option we offer. Authority and custom plans are priced in your Order. Add ons are charged as quoted.
Automatic renewal. Monthly and annual plans renew automatically at the end of each billing period at the then current price until you cancel. By buying, you authorize HiveCast and its payment processor to charge your payment method for each renewal, and you must keep your payment details current. We will remind you of renewals where the law requires it.
Cancelling. You can cancel a renewing plan at any time by emailing [email protected], or through your account when we offer that. Cancellation takes effect at the end of the current billing period. We do not refund or credit partial periods.
Price changes. We may change prices on 30 days' notice. If you do not cancel before the change takes effect, the new price applies.
Late and failed payments. If a payment fails we may retry it and may suspend the Services after 7 days' notice until you pay. You are responsible for reasonable costs of collecting amounts you owe, including attorneys' fees where the law allows.
Disputes and chargebacks. Contact us before disputing a charge so we can fix any problem. If you dispute a charge with your bank, we may suspend the Services and give the bank and our payment processor records of your Order, the work we did and our communications.
Third party costs. Domain registration, press release distribution fees, advertising and similar costs paid to others are not included unless your Order says so.
Refunds. Fees are nonrefundable except under the launch guarantee in section 12, where we end a plan for convenience under section 13, or where the law requires.
12. The launch guarantee
What we promise. If we have not made your Site live on your own domain, with your first published interview episode available, within 30 days after the Start Date, you may ask for a refund of the Foundation fee (the "Setup Fee").
Start Date. The Start Date is the day we have received all of these: your payment of the Setup Fee, the intake information we ask for, the access or instructions we need to point your domain to our hosting (including a nameserver change at your registrar where applicable), and your attendance at the recorded interview. The 30 days are paused while we wait for any of those, while we wait for your review and approval of the Record beyond five business days, and during any delay caused by you or by a third party outside our control, such as a registrar, a DNS delay or a platform outage.
What counts. "Live" means the Site is publicly reachable at your domain. "Published interview" means an episode of your interview is publicly available on at least one podcast platform or on a public page of ours.
How to claim. Email [email protected] within 30 days after the 30 day period ends, as extended, with your Order details. If the guarantee applies, we will refund the Setup Fee to your original payment method within 10 business days.
When it does not apply. The guarantee does not apply if you cancel or withdraw, ask us to delay, remove or not publish the interview, stop responding for 14 days in a row, give us materially inaccurate information, or make a claim after the claim period.
Sole remedy. A refund of the Setup Fee is your only remedy for failing to meet the guarantee. It does not cover monthly fees, add ons, taxes or costs already paid to others, and it is not a promise about any outcome described in section 8. If we refund you, we may take the Site offline, the unfinished deliverables remain ours, and we will delete or return your Client Materials if you ask.
13. Cancellation, suspension and termination
You may stop using the Services at any time, subject to section 11. Once the Start Date has passed, the Setup Fee is nonrefundable except under section 12 or where the law requires.
We may suspend or end your access immediately if you do not pay, you break these Terms, your materials or conduct are unlawful, misleading or contrary to a Third Party Platform's rules, you threaten or abuse our staff, or we reasonably believe continuing exposes us to legal or reputational risk. We may also end a monthly plan for convenience on 30 days' notice, and if we do, we will refund the unused part of any prepaid period.
When a plan ends: you remain responsible for fees already due; your access to the course and portal ends; we will keep your Site online and make a download of its files available for 30 days, provided your fees are current; after that we may take it offline and delete hosted copies. It is your job to point your domain elsewhere before the transition period ends, and we are not responsible for downtime afterwards. We may keep backups for up to 90 days.
Sections that by their nature should continue, including 5 to 9, 14, 18, 20 to 23 and 25, continue after these Terms end.
14. Ownership of what we build
What you own. Once you have paid in full, you own the text and information that we prepare specifically about you for the Record and the Site ("Client Deliverables"), and we assign you our rights in them.
What we own. We keep all rights in the code, templates, design system, generator, diagrams, scoring tools, checklists, methods, course, blog and other materials we use or create to deliver the Services ("HiveCast Materials"), and in the names MeMyself, MeMyself.fyi and HiveCast. We also keep our general knowledge and techniques, but not your confidential information.
What you may do with the Site files. We give you a perpetual, nonexclusive license to use, copy, host and modify the Site files for your own website. You may not resell them or use the HiveCast Materials to build sites for others.
Feedback. If you give us ideas or suggestions, we may use them freely without paying you.
15. The course and readiness checks
Claim your Google Knowledge Panel, our course, and any readiness check are educational. We give you a personal, nonexclusive, nontransferable license to use the course for yourself while your plan is active, or for the period stated in your Order. You must not copy, share, record, resell or publish it. We may update it at any time.
The course, the scorecard and any readiness check are our general information and opinion, based on public criteria and what you have told us on the date given. They are not legal, financial or other professional advice, they are not a decision by Google, Wikimedia or anyone else, and they do not predict or promise that you will qualify for or receive anything.
16. Examples, portfolio and testimonials
Unless you tell us in writing that you do not agree, you permit us to describe your Site and the work we did, to show your name, title, company, headshot and a screenshot of your Site, and to link to it, as an example of our work on our Website and in our marketing. We will not attribute a specific result to you without your approval. We will show a rating, review or testimonial about us only if it is genuine and from a real customer, and if you are connected to us in any way we will say so.
17. Acceptable use
You must not, and must not help anyone to:
- break the law or infringe anyone's rights;
- give us, or ask us to publish, anything false, defamatory, misleading or deceptive, including invented credentials, awards, clients, reviews or endorsements;
- impersonate a person or organization, or misrepresent your affiliation;
- ask us to manipulate search engines, AI systems, wikis or review sites, or to hide a paid relationship that the rules require you to disclose;
- scrape, copy or resell the Website, the course or the HiveCast Materials, or reverse engineer our tools;
- interfere with the Website or its security, or attempt unauthorized access; or
- harass, threaten or abuse our staff or partners.
18. Confidentiality
Each of us will protect the other's nonpublic business information, use it only to perform or receive the Services, and not disclose it except to advisers and service providers who need it and are bound to protect it, or as the law requires. This does not cover information that is public, that was already known to the recipient, that the recipient learns lawfully from someone else, or that the recipient develops independently. Anything you ask us to publish is not confidential. These duties last for three years after the Services end.
19. Privacy and AI assisted work
Our Privacy Policy explains how we handle personal information and forms part of these Terms.
We may use AI tools to help draft, check, organize and translate your Record and content. We review the output, and you approve it before it is published. AI output can contain mistakes, so check it carefully. You are responsible for what you approve.
20. Disclaimers
TO THE FULLEST EXTENT THE LAW ALLOWS, THE WEBSITE AND THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." WE AND OUR SUPPLIERS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NONINFRINGEMENT, ACCURACY AND QUIET ENJOYMENT. WE DO NOT WARRANT THAT THE WEBSITE, THE SITE OR THE SERVICES WILL BE UNINTERRUPTED, SECURE OR ERROR FREE, OR THAT ANY RESULT WILL OCCUR.
Nothing we say or publish is legal, tax, financial, medical or other professional advice, and we do not create an attorney client, fiduciary or advisory relationship with you. We are not a law firm, a public relations firm of record or a guarantor of your reputation. Our blog and course describe how third party systems have worked at a point in time, and those systems change.
21. Limitation of liability
TO THE FULLEST EXTENT THE LAW ALLOWS:
- HIVECAST, ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OPPORTUNITIES, GOODWILL, REPUTATION OR DATA, EVEN IF WE WERE TOLD THEY WERE POSSIBLE;
- WE WILL NOT BE LIABLE FOR ANYTHING DONE OR NOT DONE BY A THIRD PARTY PLATFORM OR OTHER THIRD PARTY, INCLUDING ANY DECISION ABOUT A KNOWLEDGE PANEL, WIKIDATA OR WIKIPEDIA ENTRY, SEARCH OR AI RESULT, PRESS COVERAGE OR BOOKING, OR ANY OUTAGE, DOMAIN LAPSE OR EMAIL FAILURE THEY OR YOUR REGISTRAR CAUSE; AND
- OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE WEBSITE OR THE SERVICES WILL NOT EXCEED THE FEES YOU ACTUALLY PAID US FOR THE SERVICE THAT GAVE RISE TO THE CLAIM DURING THE SIX MONTHS BEFORE THE EVENT THAT GAVE RISE TO IT.
These limits apply to every legal theory, including contract, tort, negligence and strict liability, and even if a remedy fails of its essential purpose. They are part of the basis of the bargain, and our prices reflect them. Any claim must be brought within one year after it arises, or it is permanently barred.
Nothing in these Terms limits liability that cannot be limited by law, such as liability for fraud, for gross negligence or willful misconduct, or for death or personal injury, or any rights you have under consumer protection law that cannot be waived.
22. Indemnification
You will defend, indemnify and hold harmless HiveCast and its owners, officers, employees, contractors and suppliers from any claim, loss, liability, cost or expense (including reasonable attorneys' fees) arising out of or relating to: Client Materials or anything we publish at your direction; facts you ask us to state; your breach of these Terms or the law or of a Third Party Platform's rules; your domain, DNS or registrar accounts; or your use of the Site. We will tell you promptly of any claim, you may control the defense with counsel reasonably acceptable to us, and you may not settle a claim in a way that admits fault by us or restricts us without our written consent.
23. Governing law and dispute resolution
Governing law. These Terms and any dispute are governed by the laws of the State of Colorado, without regard to conflict of law rules, and by the Federal Arbitration Act.
Talk first. Before starting a claim, send a written notice describing it to [email protected] (we will send ours to the email on your Order) and give us 30 days to try to resolve it informally.
Binding individual arbitration. If we cannot resolve it, any dispute or claim relating to the Website or the Services, including its existence, scope or validity, will be resolved by binding arbitration administered by the American Arbitration Association under its rules that apply to the dispute, before one arbitrator, seated in Denver, Colorado, with hearings by video where allowed. Judgment on the award may be entered in any court with jurisdiction.
No class actions. You and HiveCast may bring claims only in an individual capacity, and not as a plaintiff or class member in any class, collective, consolidated or representative action. The arbitrator may not combine claims or award class relief. If this paragraph is found unenforceable for a claim, that claim must be brought in court and not in arbitration.
Jury waiver. To the extent a claim is heard in court, you and HiveCast each waive any right to a jury trial.
Exceptions. Either of us may bring an individual claim in small claims court, and either may seek an injunction in court to protect intellectual property or confidential information.
Courts. Any claim that is not arbitrated must be brought in the state or federal courts located in Denver, Colorado, and each of us consents to their jurisdiction and venue.
Opting out. You may opt out of arbitration by emailing [email protected] within 30 days after you first accept these Terms, with the subject "Arbitration opt out" and the name and email on your Order. If you opt out, the court and jury provisions above still apply.
24. Changes to these Terms
We may update these Terms. The version in effect on the date you buy governs that purchase. For renewing plans, we will post the new version and the date, and for material changes we will email you at least 30 days before they apply. If you keep using the Services after the effective date, you accept the changes, and if you do not agree you may cancel before then.
25. General
These Terms, our Privacy Policy and your Order are the entire agreement between us on their subject and replace earlier discussions. If your Order is a written agreement signed by both of us, it controls if it conflicts with these Terms.
If part of these Terms is unenforceable, the rest remains in effect and the part will be limited as little as possible. Not enforcing a term is not a waiver. You may not assign these Terms without our written consent; we may assign them to an affiliate or to a successor to our business. Neither of us is liable for a delay or failure caused by events beyond reasonable control, other than a failure to pay.
We are independent contractors, not partners, employees or agents of each other. There are no third party beneficiaries, except HiveCast's owners, officers, employees, contractors and suppliers, who may rely on sections 20 to 22. You may not use the Services in breach of export control or sanctions laws. Notices to you may be sent to the email on your Order or posted on the Website, and notices to us must be emailed to [email protected]. Electronic records and signatures are valid. "Including" means "including without limitation." These Terms are in English, and headings are for convenience only.
